[ Terms of Service ]

Effective Date: October 5, 2026

These Terms of Service ("Terms") govern your use of GLOUT: Inventory Manager (the "App") and GLOUT's related website services (together, the "Services"), operated by GLOUT TECHNOLOGIES LLC, a Texas limited liability company ("GLOUT," "we," "us," "our").

By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Service

GLOUT provides business inventory and asset tracking through its supported mobile and website services. Features and access vary by subscription tier (Free, Growth, Pro), platform, and release availability.

  • Inventory items, quantities, locations, photos, stock status, assets, and rental/usage tracking.
  • Menu image/document uploads, AI-assisted item and menu extraction, recipe suggestions, and confirmed ingredient mappings.
  • Clover-connected menu linking and ingredient usage, inventory alerts, analytics, and activity history.
  • Company accounts and employee permissions, tasks and recurring tasks, meetings and a company calendar, chat including private conversations, and personal/team performance reporting.

Clover authorization and automation

Only an owner who is a member of the active company may connect its production Clover merchant account. That owner must have authority to authorize access to the merchant account and must explicitly acknowledge the connection. Access depends on the permissions granted by Clover and the connection remaining valid. GLOUT stores connection credentials server-side with Clover access and refresh tokens encrypted.

Authorized read operations include inventory items and sales-related orders, payments, refunds, line items, and modifiers. Connection checks can report access to Inventory, Orders, Payments, and Refunds, including denied or unavailable results and a check timestamp. Access to orders, payments, and refunds is checked before ingredient tracking can be enabled. Reading these records does not mean GLOUT processes Clover payments.

Connecting Clover or linking recipes does not by itself enable ingredient deductions. Ingredient tracking requires a separate owner-controlled enable/disable action and acknowledgment. First production connections start with tracking off. Reconnecting the same live merchant preserves its existing tracking setting and ingestion progress. When enabled, supported sales can update GLOUT inventory according to the confirmed recipe and ingredient mappings.

Unavailable-item monitoring operates independently of ingredient deductions. Checks are scheduled every 60 seconds for production connections, but checks and notification delivery are not guaranteed to be instantaneous. The first observation establishes a baseline; a later available-to-unavailable transition generates an owner alert, while an item remaining unavailable does not generate repeated alerts. Catalog size, upstream failures, connection validity, and notification permissions can affect timing and delivery.

Financial refunds do not automatically restore ingredients. An owner must confirm the physically unused servings being returned; restoration is limited to those unused quantities and capped by actual prior deductions.

The owner may disconnect Clover using the connection controls after confirmation. Disconnecting removes production and sandbox credentials, stops ingredient tracking and availability monitoring, and cancels pending connection attempts. Inventory, recipes, and history are preserved. Disconnecting does not uninstall GLOUT from Clover or cancel subscriptions; the connection interface provides Clover uninstall instructions.

AI and inventory accuracy

AI-recognized items, extracted menu content, suggested ingredients, quantities, units, and estimated values can be inaccurate and require review. Merchants remain responsible for confirming recipes, units, customizations, and critical inventory decisions. GLOUT does not verify allergens, nutrition, food safety, or regulatory compliance.

2. Accounts

You may create an account using email/password, Google Sign-In, or Sign in with Apple where supported. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must be at least 13 years old to create an account. An App Store content age rating does not change this account-eligibility requirement.

If you create a company within the Services and invite team members, you are responsible for managing its memberships, roles, and permissions. Company access is based on membership and role. Owners manage company settings and Clover activation; employee editing permissions may depend on company settings. Subscription management is restricted to company owners.

Employees may access their own performance details. Team-wide performance reports require manager/owner authorization. Recorded work activity can include qualifying inventory changes and task completions, actor/company identifiers, timestamps, item/task references, and related metadata; it is not merely a count of app opens or raw scans. The business is responsible for appropriately informing employees about recorded activity and performance reporting and for establishing any notices, permissions, or other lawful basis required in its jurisdiction.

Private conversations require explicit participation. Being an owner or administrator does not itself grant access to every private conversation. These Terms do not represent that employees have received a monitoring notice or given consent merely because a feature is implemented.

3. Subscriptions & Billing

GLOUT offers Free, Growth, and Pro tiers. Paid subscription products are configured on a weekly billing cycle. The mobile subscription flow uses Apple's In-App Purchase system, and GLOUT receives receipts and subscription lifecycle information to verify access. The actual price, currency, taxes, availability, and renewal terms shown by Apple at purchase control; configured display prices are not a guarantee of current localized App Store prices.

Apple subscriptions renew automatically unless cancelled under the terms presented at purchase. Company owners can use the app's Apple subscription-management link or their Apple ID account settings to manage or cancel an Apple subscription. Apple-purchase refund requests must be directed to Apple and are subject to Apple's process and eligibility decisions; GLOUT does not guarantee refund approval. These Terms do not establish Clover billing or a separate website subscription-purchase flow.

4. Account Deletion & Data

Self-service deletion is restricted to your own authenticated account. If another company owner exists, the company remains. If you are its sole owner and other members remain, an eligible earliest-joined member may be promoted to owner. If no other members remain, the deletion path deletes the company and associated cascading database records.

Account deletion removes the user record, associated authentication tokens, and memberships. Some inventory-history and notification references have their user IDs cleared. This is not a promise of complete anonymization or of immediate removal of every name, message, metadata field, uploaded object, backup, or third-party record. Company deletion includes cleanup of private menu-source objects and reports failure if that cleanup cannot safely be completed. See the Privacy Policy for verified data handling and deletion limitations. Deleting an individual account does not always delete shared company records or cancel an Apple subscription.

Automatic Clover cleanup triggered by account deletion is not currently available. Deleting an account should not be relied on to disconnect Clover, remove Clover connection credentials, revoke Clover authorization, or delete Clover-related records. The separate owner-controlled Clover disconnection described above is not an automatic account-deletion cleanup feature.

5. Acceptable Use

You agree not to use the App to store or transmit unlawful content, attempt to interfere with the App's operation or security, or misuse team/company features to access data you're not authorized to see. You must have the rights and permissions necessary to upload business data, connect merchant accounts, and share content with company members or service providers. Do not misuse credentials, impersonate another user, or bypass conversation or company permissions.

6. Intellectual Property

The App, including its design, branding, and underlying software, is owned by us. Inventory data, item names, uploaded menus, recipes, and other business information you enter remain yours — we do not claim ownership over your business data. You grant GLOUT a limited permission to host, store, transmit, analyze, and otherwise process that data as necessary to provide the Services you use, including requested AI processing, authorized Clover functionality, and company collaboration.

End-user license

Subject to these Terms and your applicable subscription access, GLOUT grants you a limited, non-exclusive, non-transferable license to use its software through the supported interfaces for your own or your company's business operations. This license does not transfer ownership of GLOUT software or branding or grant a right to resell the software. Third-party platforms, including Apple and Clover, may impose their own applicable terms. References to Clover do not imply Clover approval or endorsement.

7. Disclaimer of Warranties

The App is provided "as is" without warranties of any kind. We do not guarantee the App will be uninterrupted, error-free, or that inventory tracking will be 100% accurate at all times. You are responsible for verifying critical inventory decisions independently.

8. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages (such as lost sales or lost inventory data) arising from your use of the App.

9. Termination

We may suspend or terminate accounts that violate these Terms.

10. Indemnification

You agree to indemnify and hold harmless GLOUT and its owner from any claims, damages, or losses arising from your use of the App, your violation of these Terms, or your misuse of inventory data or team/company permissions.

11. Dispute Resolution

Any disputes arising from these Terms or your use of the App will be resolved through the courts located in the state specified in the Governing Law section below.

12. Changes to the App

As an actively developed product, features within the App may be added, modified, or removed at any time without prior notice. We do not guarantee that any specific feature will remain available indefinitely.

13. Assignment

We reserve the right to transfer or assign these Terms, the App, or the underlying business to another party (for example, in the event of a sale or change in business structure) without requiring individual user consent. Your rights and obligations under these Terms may not be assigned by you without our prior written consent.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the App, superseding any prior agreements or understandings, whether written or verbal.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the updated Terms.
